Terms of Service — Professional and Organizational Use

RoboNex paid services are currently offered for purposes connected with professional or organizational activity. Eligible users include natural-person professionals, independent professionals, freelancers, micro-entrepreneurs, sole traders, companies, associations, public, educational and research organizations, and professional projects whose registration is underway. A company-domain email, Kbis or registration number is not required to create an account. Purely private, household, leisure or non-professional purchasing is not part of the current paid offer. The contracting provider is ROBONEX SAS, Société par actions simplifiée, share capital 2,000 €, registered with the RCS Auxerre under SIREN 103 902 151, registered office at 29 Rue du Moulin du Président, 89000 Auxerre, France. Mandatory rights remain applicable whenever the customer’s factual status requires them.

RoboNex provides hosted account, API and AI-service access described in the selected plan or order form. The customer represents that the subscription relates to professional or organizational activity, that supplied information is accurate to the best of its knowledge, and that it is authorized to act for an organization when applicable. It must correct materially inaccurate billing information, protect credentials and API keys, administer authorized users, and use outputs with appropriate professional review. The purpose declaration records the customer’s statement; it does not override mandatory law or factual legal status. Availability and model capabilities can evolve; no uninterrupted, error-free or 100% available service is promised.

A project whose formal registration is underway may subscribe without supplying a Kbis or registration number at account creation. RoboNex may reasonably request additional information when needed for invoicing, tax compliance, fraud prevention, payment risk, sanctions or other legal compliance, or an account-ownership dispute.

Prices, billing period, included usage and applicable taxes are shown before order or in the order form. Complete billing information may be requested immediately before the first paid order or invoice. The customer must verify the legal or operating name, billing address, country, billing email, and any registration or tax number applicable to it. Invoices use information supplied through Checkout or the payment customer profile; retroactive corrections remain subject to operational ability and applicable law. Business prices may be displayed excluding tax where identified. A monthly subscription renews for successive monthly periods unless cancelled under the displayed cancellation rules.

RoboCredits measure platform consumption. Included subscription balances and separately purchased balances may follow different allocation and expiry rules shown at purchase.

• RoboCredits are centralized units for consuming eligible services on the RoboNex platform.
• They are non-transferable, cannot be withdrawn or redeemed for cash, and are not virtual currency or an investment product.

The Business Customer retains its rights in lawful inputs. It authorizes RoboNex and its service-provider categories to process inputs, prompts and related technical data only as needed to provide, secure and support the service and meet legal obligations. AI output may be inaccurate or non-unique and requires human review before consequential use.

The service must not be used unlawfully, to infringe third-party rights, compromise systems, bypass safeguards or quotas, distribute malware, facilitate fraud or make solely automated decisions producing legal or similarly significant effects without an appropriate lawful basis and human safeguards. RoboNex may proportionately restrict access where reasonably necessary to protect users, the service or legal compliance.

Online monthly subscriptions have no long-term commitment and may be cancelled online. Cancellation takes effect at the end of the paid current period unless the order form says otherwise. Amounts already due remain payable. Material breach, security threats, unlawful use or non-payment may justify proportionate restriction or termination after notice where circumstances permit.

Each party remains liable for direct loss caused by its breach. To the extent permitted between professionals, RoboNex’s aggregate liability arising from the service is limited to fees paid for the affected service during the twelve months before the event giving rise to liability. This limit does not apply where liability cannot lawfully be limited, including fraud, wilful misconduct, death or personal injury caused by negligence. Neither party is liable for indirect loss to the extent permitted by law.

French law governs these terms. The parties will first attempt in good faith to resolve a dispute through contact@robonex.fr. Where legally permitted between professionals, the competent courts of Auxerre have jurisdiction. Mandatory rules remain unaffected.
