Review status

Draft for legal review. Legal entity details, governing law, liability terms, and the effective date must be approved before these terms become binding.

Document status

This V1 document is a professional working draft. It does not replace a signed agreement and should not be treated as final legal advice or final contractual language.

The service

RoboNex AI provides software interfaces and account tools for accessing AI capabilities. Available features, limits, and service descriptions are shown in the product or in an applicable written agreement.

Accounts and access

Users are responsible for providing accurate account information, protecting credentials and API keys, and promptly reporting suspected unauthorized access. Organization administrators are responsible for access they grant within their workspace.

Acceptable use

Use of the service must follow applicable law and the Acceptable Use Policy. RoboNex may need contractual language covering suspension or restriction of access when necessary to address prohibited use; counsel must approve that language before publication.

Customer content

Rights, permitted processing, retention, and deletion rules for prompts, outputs, and other customer content require confirmation against the production implementation and final customer agreement.

  • Placeholder: confirm customer-content licence language.
  • Placeholder: confirm retention and deletion terms.
  • Placeholder: confirm responsibility for evaluating generated output.

Fees and payment

Subscription charges, AI usage purchases, taxes, billing cycles, renewals, refunds, and plan changes are governed by the pricing presented at purchase and any applicable order form. Final contractual wording must be reconciled with the production billing implementation before approval.

Intellectual property

RoboNex and its licensors retain rights in the service, software, branding, and documentation. Final language concerning customer inputs and generated outputs requires legal review and must reflect applicable law and the technical service.

Warranties and liability

Placeholder for counsel: add jurisdiction-appropriate warranty disclaimers, liability limits, exclusions, and mandatory consumer-rights language. No limitation is stated in this draft.

Term and termination

Placeholder for counsel: define effective date, term, termination rights, suspension process, post-termination access, and provisions that survive termination.

Governing terms

Placeholder for counsel: identify the contracting RoboNex entity, registered address, governing law, venue, dispute process, and any country-specific terms.
